Combine butter, flour and nuts.
Spread into 9 x 13-inch pan. Bake at 350Β° for 20 minutes.
Cool. Cream together next 3 ingredients and spread on top of cooled crust.
Mix until thick the pudding and milk.
Pour on top of the first layer.
Top with remaining Cool Whip and a few chopped nuts.
