Mix all ingredients in large bowl, mix for about 2 minutes. Pour into two wax paper lined 9 inch layer pans.
Bake for 30 - 35 minutes at 350 degrees.
May also use a 9 inch x 13 inch pan. Frost with your favorite icing.
