Place margarine, chocolate chips, vanilla and nuts in large bowl.
In large 5-quart heavy saucepan, bring sugar and milk to a boil, stirring constantly.
Boil and continue stirring for 8 minutes (mixture will bubble up).

Beat with electric mixer approximately 2 minutes until smooth and creamy.
Pour into greased 9 x 13-inch pan.
