Stirring constantly, heat sugar, milk and cocoa on high heat until it reaches a fast, rolling boil.
Reduce heat to maintain a slow, rolling boil for 3 minutes, while stirring constantly. After 3 minutes, remove from heat and add peanut butter, butter, vanilla and oatmeal.
Mix thoroughly and drop on wax paper. Allow to cool.
