Crush Oreos; set aside.
Mix butter, cream cheese and sugar until fluffy, set aside.
Combine milk, pudding and Cool Whip in large bowl; beat this mixture into cream cheese mixture until smooth.
Layer pudding and Oreos, saving some for top. Refrigerate.
