Combine sugar, cream, butter and cocoa in saucepan.
Stir until blended.
Bring to full boil for 1 1/2 minutes.
Remove from heat.
Pour into large bowl.
Combine peanut butter and marshmallow.
Whip at high speed with electric mixer until creamy smooth.
Pour in buttered pan.
